ScaleLayer AI LLC ("ScaleLayer", "we," "us," or "our") provides AI-driven revenue infrastructure services. By accessing our website, booking an audit, or engaging our services, you ("Client" or "you") agree to be bound by these Terms of Service and our Privacy Policy.
1. Services
ScaleLayer provides "Infrastructure-as-a-Service," specifically designing and deploying AI agents (The Revenue Stack, The Operations Stack, etc.) to automate business processes.
- Scope: Specific deliverables are defined in your individual Statement of Work (SOW), Proposal, or Engagement Agreement.
- No Guarantee of Results: While our systems are designed to maximize throughput and revenue, ScaleLayer makes no specific guarantees regarding conversion rates, booked appointments, or revenue generated. Past performance (e.g., case studies) does not guarantee future results.
2. Client Obligations (Data & Compliance)
You agree to provide accurate, up-to-date access to your CRM, lead lists, and internal systems as required for us to perform the services.
You represent and warrant that all data and contacts provided to ScaleLayer for outreach have given express written consent to be contacted by you via SMS/Email. ScaleLayer acts strictly as a technical "sender" on your behalf.
You agree to indemnify, defend, and hold harmless ScaleLayer from any claims, damages, fines (including TCPA or carrier fines), or legal expenses arising from your failure to obtain proper consent from your leads. If you provide us with a "cold" or non-compliant list, you assume full legal liability.
To the extent that ScaleLayer processes "Personal Data" subject to the CCPA or GDPR on your behalf, the parties agree that such processing shall be governed by our standard Data Processing Agreement (DPA), which is incorporated by reference into your specific Statement of Work or Engagement Letter.
3. Intellectual Property Rights
- ScaleLayer Ownership: We retain all rights, title, and interest in our proprietary "Layers," AI agents, prompt engineering, workflows, and "The Humble Disarm" methodology. Paying for our services does not grant you ownership of our underlying code or infrastructure logic.
- Client Ownership: You retain full ownership of your customer data, lead lists, and the specific metrics/results generated for your business.
4. Mobile Message Service Terms (SMS/MMS)
By consenting to ScaleLayer's SMS/text messaging service (e.g., by submitting a form on our website or booking a call), you agree to receive recurring SMS/text messages from and on behalf of ScaleLayer through your wireless provider to the mobile number you provided.
The ScaleLayer mobile message service allows us to communicate with you regarding:
- Service Updates: Appointment confirmations, reminders, and account status updates.
- Marketing & Promotions: Information about our products, services, special offers, and reactivation campaigns.
- Support: Answers to your inquiries and customer support communication.
You can cancel the SMS service at any time. Just text "STOP" to the number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
Carriers are not liable for delayed or undelivered messages.
5. Fees, Billing & Usage
Fees for our services may include, but are not limited to, Prepaid Meeting Fees, Implementation Deposits, Monthly Retainers, or Performance Commissions. The specific fee structure applicable to your engagement will be outlined in your specific Statement of Work (SOW) or Invoice. Unless explicitly stated otherwise in writing, all Initial Deployment Fees and Retainers are non-refundable and are considered earned upon receipt.
Depending on your pricing plan, you may be responsible for variable "Pass-Through Costs" (SMS/MMS carrier fees, AI token usage). If your agreement dictates that you cover these costs, they will be billed to your payment method on file.
For engagements involving performance-based compensation, you agree to provide transparent reporting to validate billable events. Disputes regarding metrics must be submitted in writing within 5 business days of the invoice date.
6. AI Disclaimer (The "Hallucination" Clause)
Our services utilize Large Language Models (LLMs) and Artificial Intelligence. AI is probabilistic, not deterministic. While we tune agents for accuracy, ScaleLayer is not liable for occasional inaccuracies, "hallucinations," or off-brand responses generated by the AI agents during conversations. We recommend periodic human review of AI conversations.
7. Limitation of Liability
To the maximum extent permitted by law, ScaleLayer shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from the use of our services. Our total liability is limited to the amount you have paid us in the 3 months preceding the claim.
8. Termination
We reserve the right to terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms (specifically regarding Prohibited Content or Non-Payment).
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
10. Age Restriction
The Service is not intended for children. You represent and warrant that you are at least 18 years of age. If you are under 18, you may not use or access the Service or provide us with any phone number or contact information.
